The Capital Markets and Public Companies practice provides specialised legal advice to issuers, officers, shareholders, financial institutions, and other market participants, combining extensive experience in corporate and financial transactions with in-depth knowledge of the applicable regulatory framework. The practice covers both the structuring of capital-raising transactions and ongoing advisory work for listed companies and securities issuers, with a focus on legal certainty, transparency, and regulatory compliance.

Issuers are advised on capital markets transactions involving both equity and debt instruments. The scope of work spans all stages of these transactions, from the structuring of offerings and the preparation of transaction documentation to coordination with financial institutions, auditors, and other stakeholders. In certain cases, advice is also provided to the financial institutions engaged in the transaction.

Support also extends to the corporate and documentary organisation required for public and private offerings of securities, contributing to proper market disclosure and compliance with applicable regulatory requirements.

In addition to transactional work, listed companies and issuers are advised on compliance with applicable capital markets regulations. This includes guidance on periodic and event-driven disclosure obligations, the review of corporate governance policies and practices, and support in the interpretation and implementation of regulations issued by competent authorities.

The team also conducts legal due diligence reviews aimed at assessing the corporate, regulatory, and contractual standing of issuers and companies seeking access to the capital markets. This work enables the identification of legal contingencies, regulatory risks, and potential weaknesses in internal processes, providing clients with a detailed assessment and recommendations for corrective or preventive measures.

In contentious and administrative matters, issuers, officers, and other market participants are represented before competent authorities in administrative and judicial proceedings related to capital markets. This includes defence in investigations and enforcement proceedings, as well as the handling of litigation involving corporate and regulatory matters. Across all these fronts, the focus is on developing consistent legal strategies aligned with best practices in governance and market integrity.
